FOUNDATION FOR MANHOOD™ WEBSITE TERMS OF USE (Effective as of September 9, 2008)

Use of this “Christian Men’s Wall of Honor™” website at www.HonorMen.org™ (the “Website”) is conditioned on the user’s acceptance of all of these Terms of Use, including the Privacy Policy incorporated herein by reference. Use of this Website constitutes the user’s agreement to all these terms and conditions. If you do not agree to these Terms of Use, do not use this Website.

1. General
   Foundation for Manhood™ (“FFM”) operates this Website for the personal enjoyment of our users. Your use of the FFM website after any changes have been posted will constitute your agreement to the modified Terms of Use. You understand and agree that FFM may modify or discontinue the FFM website at any time, without notice. It is your obligation to check these Terms of Use frequently to determine whether any changes have been made. You also understand and agree that FFM may discontinue or restrict your use of the Web site for any reason without notice and without any liability to you. In addition, when using the FFM website, you shall be subject to any posted guidelines or rules, which may be posted from time to time and which are hereby incorporated by reference into these Terms of Use.
2. License of Tribute Materials
   
   Users are invited to submit tributes comprised of text, photographs, and other materials, honoring a living or deceased man who has made a significant impact on the user’s life (a “Tribute”). By submitting a Tribute to the Website, you grant to FFM a nonexclusive, perpetual, worldwide, royalty-free license to use, copy, display, perform, and post the Tribute on the Website or other website owned or operated by FFM.
   
   
   You warrant that all text, photographs, and other materials (“Tribute Materials”) that you post to the Website are either original works created by you, or that you have secured the necessary permissions to post such Tribute Materials to the Website, and that such Tribute Materials do not infringe on any common law or statutory copyright, trademark rights, proprietary rights, rights of publicity or privacy, and/or any other rights of any third party, and that they contain no matter that is obscene, pornographic, defamatory, or otherwise in contravention of any law. You agree to indemnify, defend and hold harmless FFM and its officers, employees, and agents (collectively, the “Licensor Agents”) from and against all claims, demands, losses, costs, damages, costs of defense and reasonable attorneys fees that FFM may suffer or incur as the result of a breach of this warranty.
3. Right to Edit
   
   FFM reserves the right, but does not have an obligation, to edit, in its sole discretion, any Tribute posted by a user for any purpose, including but not limited to: (a) to delete obscene, pornographic, defamatory, or any other objectionable or unlawful material, (b) to correct grammatical, spelling, or typographic errors, (c) to meet FFM’s formatting, length, and space criteria, or (d) at the request of the Honoree who is the subject of the Tribute.
4. Copyright And Trademark Information
   
   All materials on this Website are protected by copyright and other intellectual property laws. These materials are owned by FFM or its partners, or are used with permission of their owners or as otherwise authorized by law. Such materials include, but are not limited to, the photographs, images, illustrations, text, video clips, audio clips, designs, logos, trademarks and other materials contained in this website (“Website Materials”). All rights are reserved. The Website Materials are made available solely for your personal viewing. You may print or reproduce discrete portions of the Website Materials published on this site solely your personal non-commercial use. Except as stated above, you agree not to copy, distribute, publish, or otherwise use the Website Materials for any other purpose without the prior written consent of FFM. You also agree to observe the privacy of all other users and not to use the Tribute information of any other user for any commercial, promotional or other purpose.
   
   
   FOUNDATION FOR MANHOOD™, CHRISTIAN MEN’S WALL OF HONOR™, and other trademarks, service marks, logos, and trade names used on the Website are owned by FFM. You agree not to display or use the FFM marks in any manner without FFM’s prior written consent.
5. Posting And Comments
   User or third party submissions or postings are the views of the author or poster. They do not necessarily reflect the views of FFM. FFM reserves the right to edit any postings or material submitted to it, for any reason. FFM has the sole discretion over whether to publish, edit or delete any material submitted to the FFM website. By submitting any postings, comments or other messages to FFM, the commenter gives FFM all rights to the material and authorizes FFM to publish the material in any media now known or hereafter developed, and to use, adapt, recast, distribute, display, perform, or transmit it in any way, as FFM may determine in its sole discretion. By submitting your name or other identifying data with a posting or other submission, you give FFM the right to publish that data, and to use that data for promotional or any other purpose.
   
   
   Users are prohibited from:
   1. posting any confidential, proprietary, or copyrighted material without authorization of the owner;
   2. posting unsolicited or unauthorized advertising, promotional materials, or any other form of solicitation;
   3. posting any material that is obscene, defamatory, or that infringes any trademark, copyright, privacy right, or other legal right of others;
   4. falsely stating, impersonating, or otherwise misrepresenting your identity or affiliations with a person or entity, past or present; and
   5. uploading, posting, transmitting or otherwise making available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware.

   If you believe in good faith that any content on the FFM website infringes your copyright or any other proprietary right, you may send us a notice requesting that the material be removed, though we cannot guarantee that any action will be taken as a result of your correspondence. 6. Links
   The FFM website may contain links to other Internet sites. These links are not endorsements of those sites and/or any products or services in such sites, and no information in such sites has been endorsed or approved by FFM.
7. Objections
   If you object to the posting of any Tribute for any reason (for instance, if you are a relative of a deceased honoree and object to the description of the honoree, or if you believe your copyrighted material was posted without your permission), please provide us with the following information and we will in good faith consider appropriate action regarding the Tribute:
   1. Your name, address, phone number, and email address;
   2. The name of the Honoree whose Tribute you are objecting to;
   3. Your relationship to the Honoree, if any;
   4. A detailed explanation of the basis for your objection to a Tribute;
   5. If your objection is based on a copyright claim, detailed information about the copyrighted material that you believe is infringed and your ownership of such material; and
   6. A statement under penalty of perjury that the information in your notification is accurate, and that you have legal entitlement to make the objection you are making.
8. Disclaimer of Warranties and Liability
   FFM permits users to post Tributes on the Website, but does not make any independent investigation as to the truthfulness or accuracy of the information in the Tributes. You can contact FFM to let us know of content that you find objectionable. We may investigate the complaints and violations of our policies that come to our attention and may take any action that we believe is appropriate, including, but not limited to issuing warnings, removing the content or terminating accounts and/or subscriptions. However, because situations and interpretations vary, we also reserve the right not to take any action.
   
   
   FFM SPECIFICALLY DISCLAIMS ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, AS TO THE FFM WEBSITE AND ITS CONTENT, INCLUDING, WITHOUT LIMITATION, ANY REPRESENTATIONS OR WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, NONINFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. FFM MAKES NO GUARANTEES WHATSOEVER AS TO THE CORRECTNESS, ACCURACY, AND/OR RELIABILITY OF THE SITE, NOR OF ANY TRIBUTE, OPINION, STATEMENT, OR OTHER INFORMATION DISPLAYED OR PROVIDED THROUGH THE SITE. YOU ACKNOWLEDGE THAT ANY RELIANCE UPON ANY SUCH TRIBUTE, OPINION, STATEMENT, OR OTHER INFORMATION ON THE WEBSITE SHALL BE AT YOUR SOLE RISK.
   
   
   LIVING HONOREES SHALL BE RESPONSIBLE FOR REVIEWING TRIBUTES ABOUT THEMSELVES AND NOTIFYING FFM TO DELETE ANY OBJECTIONABLE INFORMATION. FFM SHALL NOT BE HELD LIABLE FOR DEFAMATORY, INACCURATE, INCOMPLETE, OR ANY OTHER OBJECTIONABLE INFORMATION POSTED IN ANY TRIBUTE ABOUT ANY HONOREE.
   
   
   FFM DISCLAIMS ALL LIABILITY AND RESPONSIBILITY FOR ANY ERRORS, OMISSIONS, BUGS, VIRUSES, OR OTHER PROBLEMS IN THIS SITE AND FOR ANY DAMAGES CAUSED THEREBY. FFM WILL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY LOSS OR INJURY CAUSED IN WHOLE OR PART BY ITS NEGLIGENCE OR CONTINGENCIES BEYOND ITS CONTROL IN PROCURING, COMPILING, INTERPRETING, REPORTING OR DELIVERING FFM AND ITS CONTENT. IN NO EVENT WILL FFM BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN BY YOU IN RELIANCE ON THE WEBSITE CONTENT.    A user’s use of the FFM website, and any reliance on any material published or transmitted by the FFM website, is at the user’s own risk. You agree that you hereby release FFM and its affiliates, advertisers, supporters, and authors from any and all liability or obligations arising from the access or use of the FFM website, or any public forum or other area of the FFM website. A user’s sole remedy for any problem or concern is to leave the FFM website. You agree that you will indemnify and hold FFM harmless for any loss, damages or liability suffered by FFM as a result of your use of the FFM website, or your submission of any material to FFM or the FFM website. FFM reserves the right to restrict or limit access to the FFM website.
9.   Governing Law And Forum
   This FFM website (excluding linked sites) is controlled by FFM from its offices within the Commonwealth of Virginia, U.S.A. By accessing this FFM website you agree that the laws of the Commonwealth of Virginia, without regard to conflicts of laws principles thereof, will apply to all matters relating to the use of this Website. You agree and hereby submit to the exclusive personal jurisdiction and venue of the state and federal courts in the Commonwealth of Virginia with respect to such matters, and you hereby consent to extra-territorial service of process, provided, however, that at the election of FFM any disputes arising out of or in connection with this Agreement or your use of this Website shall be resolved solely by arbitration as set forth in Paragraph 9 below. FFM makes no representation that materials on this FFM website are appropriate or available for use in locations outside of the United States, and accessing them from territories where their contents are illegal is prohibited. Those who choose to access this site from other locations do so on their own initiative and are responsible for compliance with local laws.
10.   Dispute Resolution
    Any dispute which the parties cannot resolve by negotiation shall, at the exclusive option of FFM, be submitted to arbitration under the rules of the Institute for Christian Conciliation (www.peacemaker.net), or any comparable entity agreed upon in writing by the parties. Any arbitration award issued by the arbitrator shall be final, binding, and enforceable in any court of competent jurisdiction. Any cause of action you may have with respect to your use of the FFM website must be commenced within one (1) year after the claim or cause of action arises or be forever waived and barred.
11.   Entire Agreement
    This Agreement constitutes the entire agreement between FFM and you with respect to your use of the FFM website, and supersedes and extinguishes any and all prior written or oral agreements between FFM and you with respect to this subject matter.
12.   Severability
    If for any reason a court or other tribunal of competent jurisdiction finds any provision of these Terms of Use, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the Terms of Use, and the remainder of these Terms of Use shall continue in full force and effect.
